Terms and Condition

These Terms & Conditions (“Terms”) govern access to and use of the IUNGO platform, applications, communication systems, wallet systems, websites, features, content, and related services operated by Jorsas Tech Ltd.

Effective Date: 13-May-2026. Version: 2.0. By accessing or using IUNGO, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

IUNGO® and JORSASTECH® are registered trademarks of Jorsas Tech Ltd, filed under Class 42 with the Federal Ministry of Industry, Trade & Investment, Nigeria. Unauthorized use is strictly prohibited and may result in legal action.

1. INTRODUCTION

These Terms & Conditions (“Terms”) govern access to and use of the IUNGO platform, applications, communication systems, wallet systems, websites, features, content, and related services (collectively, the “Services”) operated by Jorsas Tech Ltd (“Jorsas Tech”, “IUNGO”, “we”, “our”, or “us”).

By accessing or using IUNGO, users acknowledge that they have read, understood, and agreed to be bound by these Terms.

If a user does not agree with these Terms, the user must not access or use the Services.

These Terms constitute a legally binding agreement between users and Jorsas Tech Ltd.

2. DEFINITIONS

For purposes of these Terms:

  • Platform means the IUNGO mobile application, website, systems, communication infrastructure, wallet systems, and related services operated by Jorsas Tech Ltd.
  • User means any individual who accesses or uses the platform.
  • Guest means a user who initiates a Connect request or pays to interact with another user.
  • Host means a user who receives Connect requests and may earn income through eligible interactions.
  • Connect means a real-time voice or video interaction conducted through the IUNGO platform.
  • Connect Request means a request initiated by a user to start an interaction with another user.
  • I-Units means digital platform credits or wallet value used within the IUNGO ecosystem.
  • Wallet means the in-app balance system used to manage payments, earnings, and platform transactions.
  • Wallet Balance means the total available balance or eligible value currently associated with a user account.

3. ABOUT IUNGO

IUNGO is a monetised communication platform that enables eligible users to:

  • connect through real-time voice and video interactions (“Connects”);
  • monetise their time, expertise, availability, personality, or engagement;
  • pay for interactions through the IUNGO wallet system;
  • receive payments for eligible interactions; and
  • access platform features relating to communication, discovery, engagement, trust, and creator visibility.

IUNGO operates as a technology marketplace platform connecting independent users through paid interactions.

Jorsas Tech Ltd provides the infrastructure that enables communication but does not supervise, participate in, or control user conversations.

IUNGO currently operates primarily within Nigeria and presently supports identity verification using eligible Nigerian-issued identity documentation.

4. ELIGIBILITY

To use IUNGO, users must:

  • be at least 18 years old;
  • possess legal capacity to enter binding agreements;
  • comply with applicable laws and regulations;
  • provide accurate registration information;
  • complete identity verification requirements where required; and
  • comply with platform policies and governance requirements.

Users under the age of 18 are strictly prohibited from using IUNGO.

Jorsas Tech Ltd reserves the right to:

  • request identity verification;
  • reject verification attempts;
  • suspend accounts;
  • remove accounts; or
  • deny platform access.

5. ACCOUNT REGISTRATION

Users may register using supported methods including:

  • phone number registration;
  • Google authentication; or
  • Apple authentication.

Users are responsible for:

  • maintaining account security;
  • protecting login credentials;
  • ensuring information accuracy; and
  • preventing unauthorised access.

Users may not:

  • impersonate others;
  • create fraudulent accounts;
  • use misleading information;
  • circumvent suspensions; or
  • create duplicate accounts to evade enforcement.

Identity verification controls may restrict users from creating multiple accounts using the same identity credentials.

6. IDENTITY VERIFICATION (KYC)

IUNGO may require identity verification for:

  • platform integrity;
  • fraud prevention;
  • payment access;
  • withdrawal functionality;
  • safety;
  • compliance obligations; and
  • trust and verification systems.

Verification may involve third-party providers and may include:

  • BVN;
  • NIN;
  • government-issued identity documents;
  • age verification;
  • facial verification; and
  • identity confirmation checks.

Failure to complete required verification may limit or prevent access to certain platform features.

A one-time verification fee may apply during KYC onboarding or verification processes.

7. PLATFORM INTERACTIONS (“CONNECTS”)

7.1 Real-Time Interactions

IUNGO enables users to participate in real-time voice and video interactions.

Users acknowledge that:

  • interactions occur between independent users;
  • interactions may involve payments;
  • interaction quality may depend on network conditions and third-party infrastructure;
  • users remain responsible for their own conduct during interactions; and
  • interactions may end at any time by either participant.

7.2 Calling System

Users may initiate instant Connect requests through the platform calling system.

Users may be able to view:

  • caller identity;
  • profile information;
  • call purpose;
  • estimated interaction cost;
  • estimated earnings; and
  • interaction status.

Users may:

  • accept or reject calls;
  • decline interactions;
  • block users;
  • report abuse;
  • appear unavailable; and
  • end interactions at any time.

If a Host does not answer a Connect request, the Guest is not charged.

If a Connect fails to establish successfully, no payment should be deducted.

7.3 Availability & Response

IUNGO does not guarantee:

  • availability of users;
  • acceptance of calls;
  • successful connections;
  • interaction outcomes;
  • recommendations;
  • visibility; or
  • earnings opportunities.

8. PAYMENTS, WALLET & I-UNITS

8.1 Wallet System

IUNGO operates an internal wallet system that may use virtual units or wallet balances (“I-Units”).

Users may:

  • top up wallets;
  • purchase I-Units;
  • pay for interactions;
  • receive eligible earnings; and
  • manage balances through supported platform functionality.

I-Units are digital platform credits used exclusively within the IUNGO ecosystem.

I-Units are not legal tender, bank deposits, or electronic money and may not be transferred between users outside approved platform functionality.

Jorsas Tech Ltd may determine or adjust operational conversion values, pricing structures, and platform fee structures where necessary.

8.2 Platform Fees

Hosts may determine their own interaction pricing subject to platform governance rules.

Jorsas Tech Ltd reserves the right to:

  • set minimum pricing standards;
  • modify platform fees;
  • remove exploitative or misleading pricing;
  • recommend pricing ranges; and
  • modify marketplace pricing systems where reasonably necessary.

The current IUNGO platform fee is ₦80 per minute, although platform fees may change periodically and current pricing may be displayed within the platform.

8.3 Real-Time Billing

Interaction billing occurs in real time based on actual interaction duration.

Users acknowledge:

  • estimated costs are tentative;
  • actual charges may vary depending on usage duration;
  • interactions may end automatically where balances are insufficient; and
  • low-balance warnings may be displayed.

8.4 Top-Ups & Transactions

Users are responsible for ensuring sufficient wallet balances before or during interactions.

IUNGO may rely on third-party payment providers such as Paystack.

Jorsas Tech Ltd is not responsible for:

  • external banking failures;
  • payment processor downtime;
  • user banking errors; or
  • third-party payment disruptions.

8.5 Withdrawals & Earnings

Eligible users may receive payouts subject to:

  • identity verification;
  • fraud checks;
  • platform compliance;
  • operational review; and
  • applicable restrictions.

Hosts are independent users and not employees, agents, contractors, or representatives of Jorsas Tech Ltd.

Earnings are not guaranteed and may fluctuate depending on:

  • demand;
  • activity;
  • engagement;
  • trust;
  • authenticity;
  • recommendations;
  • visibility; and
  • marketplace conditions.

Users remain responsible for applicable taxes and legal obligations relating to income earned through the platform.

Jorsas Tech Ltd reserves the right to:

  • delay withdrawals;
  • suspend payouts;
  • freeze balances temporarily;
  • reverse transactions where necessary;
  • investigate suspicious activity; and
  • withhold funds pending investigations or dispute resolution.

9. USER CONDUCT

Users must use IUNGO responsibly, lawfully, respectfully, and authentically.

IUNGO is designed to support authentic human interaction, meaningful engagement, dignity of time, respectful participation, and responsible monetisation of human presence, expertise, personality, availability, and connection.

Users must not:

  • harass others;
  • stalk users;
  • threaten individuals;
  • engage in hate speech;
  • exploit minors;
  • impersonate others;
  • conduct fraud;
  • scam users;
  • misuse payment systems;
  • violate intellectual property rights;
  • manipulate rankings or interactions;
  • distribute unlawful content;
  • exploit vulnerabilities;
  • evade suspensions;
  • engage in coercion;
  • engage in emotional exploitation;
  • attempt extortion or ransom collection;
  • engage in blackmail;
  • threaten exposure or leaks;
  • misuse recordings or screenshots;
  • use deceptive identity practices;
  • upload stolen or misleading content;
  • use another person’s image, likeness, identity, or media deceptively;
  • engage in spam behaviour;
  • use bots or harmful automation;
  • intentionally attempt to bypass platform payments;
  • pressure users into off-platform payments;
  • pressure users into extended interactions; or
  • manipulate vulnerable individuals for money or access.

Users remain solely responsible for:

  • their statements;
  • behaviour;
  • interactions;
  • agreements;
  • decisions; and
  • conduct during use of the platform.

IUNGO is not a repost-driven social media platform.

Users are expected to represent themselves authentically through their profiles, interactions, and content.

Content that is misleading, deceptive, impersonating, excessively reposted, stolen, manipulated, unrelated to authentic self-representation, or harmful to platform integrity may be restricted or removed.

10. SAFETY, MODERATION & ENFORCEMENT

Jorsas Tech Ltd may implement moderation, governance, fraud prevention, safety, enforcement, trust, recommendation, visibility, and platform integrity measures designed to protect users and maintain platform quality.

Users may:

  • report abuse;
  • block users;
  • submit complaints;
  • appeal suspensions; and
  • contact support or legal teams.

Jorsas Tech Ltd may:

  • investigate complaints;
  • suspend accounts;
  • restrict accounts;
  • remove users;
  • retain evidence;
  • reduce visibility or recommendations;
  • remove misleading or inauthentic content;
  • restrict suspicious activity;
  • temporarily freeze balances;
  • investigate platform manipulation;
  • restrict withdrawals;
  • cooperate with authorities;
  • prioritise emergency safety interventions; and
  • enforce platform policies.

Users who violate platform rules may lose access to the platform.

Jorsas Tech Ltd reserves the right to investigate suspicious, manipulative, deceptive, coordinated, misleading, fraudulent, abusive, artificial, or inauthentic activity where reasonably necessary to protect users, platform integrity, moderation systems, trust systems, or operational stability.

11. SUSPENSIONS & APPEALS

Where accounts are suspended or restricted:

  • users may receive email notification;
  • account access may be limited;
  • balances may be temporarily restricted;
  • investigations may occur; and
  • users may communicate through designated support or legal channels.

Users may submit appeals through:

Jorsas Tech Ltd reserves the right to limit, decline, discontinue, close, or restrict repetitive, abusive, manipulative, excessive, bad-faith, dishonest, or frivolous appeal requests where reasonably necessary.

Jorsas Tech Ltd reserves the right to review, restrict, freeze, delay, withhold, investigate, or report balances, earnings, payouts, or transactions reasonably suspected to involve fraud, coercion, ransom demands, extortion, scams, manipulation, abuse, unlawful conduct, platform circumvention, or threats to user safety or platform integrity.

Jorsas Tech Ltd reserves the right to make final enforcement decisions where necessary to protect:

  • users;
  • platform integrity;
  • legal compliance;
  • fraud prevention;
  • authenticity;
  • moderation systems; and
  • operational safety.

12. RECORDINGS & SCREEN CAPTURE

IUNGO does not currently record user calls by default.

Future optional recording features may allow local-device recording initiated by users.

Users acknowledge that:

  • external recordings may occur;
  • screenshots may be possible;
  • third-party capture tools may exist; and
  • users remain responsible for their own conduct during interactions.

IUNGO may provide settings enabling users to allow or restrict screenshots and screen recordings where technically feasible.

13. INTELLECTUAL PROPERTY & USER CONTENT

All platform rights, technology, branding, software, systems, interfaces, trademarks, designs, logos, content, features, and related intellectual property remain the property of Jorsas Tech Ltd unless otherwise stated.

Users retain ownership of content they create or upload to the platform.

By uploading or sharing content through IUNGO, users grant Jorsas Tech Ltd a limited, non-exclusive, worldwide, royalty-free license to host, display, reproduce, distribute, promote, and use such content solely for:

  • operating the platform;
  • improving platform functionality;
  • supporting discovery and visibility;
  • promoting the platform;
  • showcasing creators and platform activity; and
  • supporting legitimate business, operational, safety, or governance purposes connected to IUNGO.

Users must own or possess appropriate rights to uploaded content.

Jorsas Tech Ltd may remove infringing, deceptive, or unauthorised content.

14. THIRD-PARTY SERVICES

IUNGO may rely on third-party providers including providers relating to:

  • payments;
  • communications infrastructure;
  • cloud hosting;
  • authentication;
  • analytics;
  • verification;
  • notifications; and
  • operational support.

Examples may include:

  • Agora;
  • Paystack;
  • AWS;
  • Firebase/Google services; and
  • identity verification providers.

Jorsas Tech Ltd is not responsible for independent third-party platform failures or external service disruptions.

15. PRIVACY

Use of IUNGO is also governed by the IUNGO Privacy Policy.

Users acknowledge that personal information may be processed in accordance with:

  • the Privacy Policy;
  • platform governance requirements;
  • legal obligations;
  • fraud prevention obligations; and
  • operational requirements.

16. DATA & GOVERNANCE

Jorsas Tech Ltd may process:

  • account information;
  • communication metadata;
  • wallet records;
  • moderation information;
  • fraud prevention information;
  • analytics;
  • technical information; and
  • security logs.

Jorsas Tech Ltd may retain certain information for:

  • legal obligations;
  • investigations;
  • fraud prevention;
  • dispute handling;
  • governance;
  • operational integrity; and
  • platform safety.

17. AUTOMATED SYSTEMS & PLATFORM OPTIMISATION

IUNGO may use limited automated systems, analytics systems, recommendation technologies, moderation tools, trust systems, engagement optimisation tools, or governance systems to:

  • improve platform functionality;
  • support recommendations;
  • enhance safety;
  • improve discovery;
  • optimise user experience;
  • prevent fraud; and
  • support moderation.

IUNGO does not currently make decisions producing legal or similarly significant effects based solely on automated processing.

18. INTERNATIONAL ACCESS

IUNGO primarily operates within Nigeria.

The platform may be accessible internationally.

Certain infrastructure providers or operational systems may process information across multiple jurisdictions where necessary for:

  • platform operation;
  • communications;
  • hosting;
  • analytics;
  • verification;
  • security; or
  • service delivery.

19. DISCLAIMERS

IUNGO is provided on an “as available” and “as is” basis.

Jorsas Tech Ltd does not guarantee:

  • uninterrupted availability;
  • continuous uptime;
  • successful interactions;
  • earnings outcomes;
  • visibility or recommendations;
  • bookings or monetisation success;
  • compatibility with all devices;
  • uninterrupted payment processing;
  • user behaviour;
  • conversation quality;
  • emotional compatibility;
  • satisfaction outcomes; or
  • specific commercial outcomes.

IUNGO facilitates communication infrastructure between independent users but does not guarantee the usefulness, quality, value, compatibility, accuracy, legality, safety, outcomes, or satisfaction of user interactions, conversations, relationships, advice, or experiences.

Users acknowledge that:

  • interactions occur between independent users;
  • users interact at their own discretion and risk;
  • users remain responsible for decisions made during or after interactions;
  • IUNGO does not verify all user claims or expertise;
  • physical meetings occur at users’ own risk;
  • off-platform relationships or arrangements remain outside IUNGO responsibility; and
  • users should exercise independent judgment during all interactions.

Jorsas Tech Ltd discourages attempts to move paid interactions off-platform where such conduct undermines moderation, trust systems, fraud prevention, safety protections, dispute handling, operational integrity, or platform functionality.

IUNGO may experience:

  • downtime;
  • maintenance interruptions;
  • bugs;
  • evolving features;
  • experimental functionality;
  • MVP or beta-stage limitations; and
  • temporary service disruptions.

20. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Jorsas Tech Ltd shall not be liable for:

  • indirect losses;
  • reputational losses;
  • consequential damages;
  • lost profits;
  • emotional distress;
  • user misconduct;
  • service interruptions;
  • third-party failures;
  • fraud by users; or
  • damages arising from user interactions.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

21. TERMINATION

Jorsas Tech Ltd may suspend, restrict, deactivate, or terminate access where reasonably necessary for:

  • fraud prevention;
  • safety;
  • abuse prevention;
  • legal compliance;
  • operational integrity;
  • governance;
  • enforcement; or
  • platform protection.

Users may deactivate accounts through supported platform settings.

Certain obligations may survive termination or deactivation.

22. CHANGES TO THE SERVICES

Jorsas Tech Ltd may modify, suspend, update, improve, remove, test, prioritise, restrict, or introduce features, systems, governance measures, creator tools, recommendation systems, pricing models, moderation systems, ranking systems, promotional systems, algorithms, or platform functionality at any time.

23. CHANGES TO THESE TERMS

Jorsas Tech Ltd may update these Terms periodically.

Where material changes occur, users may be notified through:

  • application notifications;
  • email communications;
  • website notices; or
  • platform updates.

Continued use of IUNGO following updates may constitute acceptance of revised Terms where permitted by applicable law.

24. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Users agree to first attempt good-faith resolution by contacting Jorsas Tech Ltd through designated support, governance, or legal communication channels before initiating formal legal proceedings where reasonably possible.

Jorsas Tech Ltd reserves the right to review, investigate, and assess disputes internally before determining appropriate resolutions, restrictions, refunds, enforcement actions, or corrective measures.

Where appropriate and legally permissible, parties may seek negotiation, mediation, or alternative dispute resolution mechanisms before formal litigation.

To the extent permitted by applicable law:

  • disputes should be brought individually and not as part of coordinated or representative proceedings; and
  • claims relating to use of the platform should be brought within a reasonable period after the relevant events giving rise to the claim.

Nothing in these Terms excludes rights or liabilities that cannot lawfully be excluded.

25. COOPERATION WITH AUTHORITIES

Jorsas Tech Ltd may cooperate with lawful requests, investigations, court orders, regulators, law enforcement agencies, fraud prevention bodies, or governmental authorities where reasonably necessary.

Users acknowledge that monetised human interaction platforms involve unique responsibilities and risks, and all users are expected to participate responsibly, lawfully, ethically, respectfully, and authentically.

28. FEEDBACK & CONTINUOUS IMPROVEMENT

Jorsas Tech Ltd recognises that governance, safety, privacy, moderation, trust systems, and platform technologies continue to evolve.

We welcome responsible feedback, recommendations, governance suggestions, safety observations, vulnerability disclosures, or identified gaps that may help improve:

  • platform safety;
  • moderation systems;
  • privacy protections;
  • governance practices;
  • trust systems; or
  • user protections.
